Management and institutional investors may have strongly aligned or slightly varying objectives when it comes to the sale of the business. Having advised on private equity transactions from all sides Spectrum is ideally placed to understand the motivations and issues facing different shareholder groups and this enables us to design a project plan that takes this into account and maximises the opportunity of achieving the best possible outcome for everyone involved.
Secondary buy-outs are often an option but create additional challenges in managing the objectives of different shareholders.
We often work with shareholders well ahead of launching a sale process, to understand the business and its market in order to advise on the optimum timing of a sale. In some cases because it is clear that a business has private equity investors, potential buyers are aware that a sale is likely at some point and may make a pre-emptive approach. In such situations we are well placed to advise on the merits of entering into bilateral negotiations or launching a more formal sales and marketing process.
As with any sale the key to a successful outcome is access to a well-researched and pre-qualified range of likely purchasers. We have a track record of identifying purchasers which are not always the obvious candidates through our extensive research capability, our relationships with major acquisitive UK companies, other private equity institutions and our international network.
We plan our projects to ensure that interested parties are engaged in a highly competitive process. We will manage all aspects of the sale including preparation of the Information Memorandum, comprehensive buyer research, preparing and rehearsing management presentations, leading commercial negotiations and hands-on project management during the due diligence and legal processes.
We make it our business to be on every call, attend every meeting and review every document in order to drive the project through to final completion. We work exceptionally hard to deliver the transaction for all shareholders, recognising the need to clear and consistent communication and maintaining rapport between management and investors throughout the process.
